This agreement (“Licence”) governs the use of the Licensed Software and is between Mnemoscene Ltd (“Licensor”) and the institution or individual accessing or using the Licensed Software (“Licensee”).
By accessing or using the Licensed Software, the Licensee agrees to the terms below.
The Licensor grants the Licensee a non-exclusive, non-transferable, and source-available licence to:
- Use, modify, and deploy the Licensed Software for internal academic, research, or cultural purposes;
- Run public-facing websites for student, researcher, or institutional use, provided they are hosted and operated by the Licensee;
- Operate multiple deployments (e.g. collections or sites) under the same institutional domain, as long as they remain part of the Licensee’s own activities;
- Make internal modifications (e.g. logos, CSS, layout) to the Licensed Software as needed.
The Licensee may not:
- Redistribute, publish, or share the source code or any derivative works, either publicly or privately, outside their organisation;
- Sub-license, sell, lease, or otherwise provide the Licensed Software to third parties;
- Expose the source code as part of any public deployment;
- Use the Licensed Software to provide hosted services to other organisations or clients.
The Licensee may not use the Licensed Software or derivatives to create products or services that directly or indirectly compete with Exhibit or other Mnemoscene offerings.
The Licensed Software and all intellectual property rights remain the sole property of the Licensor. This licence does not transfer ownership.
If the Licensee or its contractors submit changes, feature additions, or code contributions to the Licensor (e.g. via Git or other collaboration tools), those contributions may be incorporated at the Licensor’s discretion.
Any such contributions will be licensed to the Licensor under the same terms as this agreement, unless otherwise agreed in writing. Contributors must confirm that:
- They have the right to submit and licence their contributions;
- Their contributions do not infringe the rights of others.
The Licensee must retain any visible attributions or links included in the default configuration of the Licensed Software (e.g. “Built with Exhibit”), unless otherwise agreed in writing with the Licensor.
This licence does not entitle the Licensee to ongoing support, bug fixes, or updates. These may be provided under a separate agreement or support contract.
The Licensed Software is provided “as is”, without warranties of any kind. The Licensee assumes all risk arising from its use, deployment, or modification.
The Licensor is not liable for any damages or losses, including:
- Direct, indirect, incidental, or consequential losses;
- Business interruption, data loss, or loss of use;
- Any claim arising from the use or inability to use the Licensed Software.
This licence will terminate automatically if the Licensee breaches any of its terms. Upon termination:
- All use of the Licensed Software must stop immediately;
- All copies, including modified versions, must be deleted.
This agreement is governed by the laws of the United Kingdom. Any disputes will be resolved in UK courts.
This Licence is the full agreement between the parties regarding the Licensed Software. Changes must be made in writing and agreed by both parties.
