Contributor License Agreement (CLA) for Stac

1. Definitions

  • "Project" refers to Stac and any related repositories.
  • "You" (or "Your") refers to the individual or entity making a contribution.
  • "Contribution" means any code, documentation, or other material submitted to the Project.
  • "Maintainers" refers to the owners and administrators of the Stac Project.

2. Grant of Copyright License

By submitting a Contribution to this Project:

  1. You grant the Maintainers a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, modify, distribute, sublicense, and commercialize the Contribution under the Project’s license.
  2. You represent and warrant that:
    • You are the original creator of the Contribution or have the necessary rights to submit it.
    • Your Contribution does not infringe any third-party intellectual property rights.
    • Your Contribution complies with all applicable laws.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant Stac and recipients of software distributed by Stac a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work, where such license applies only to patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or in combination with the Work.

4. Employer Contribution Clause

If You are contributing on behalf of your employer, You represent that You have obtained permission from your employer to make such Contributions, and that your employer has waived or granted the necessary rights for your Contributions to be included in the Project.

5. Third-Party Contributions

If Your Contribution includes work that is not Your original creation, You must submit it separately from Your original Contribution, identifying its source, license, and any restrictions that apply. Clearly mark such work as: "Submitted on behalf of a third-party: [Name]".

6. Copyright and Attribution

  • You retain copyright over your Contribution.
  • The Project may credit you for your work but is not obligated to do so.

7. No Obligation to Use

  • The Maintainers are not required to accept or use your Contribution.

8. Notification of Changes

You agree to notify Stac of any facts or circumstances that would make any of Your representations in this Agreement inaccurate or misleading.

9. No Warranty & Limitation of Liability

Unless required by applicable law or agreed to in writing, You provide Your Contributions "AS IS" without warranties or conditions of any kind, express or implied, including but not limited to, warranties of merchantability, non-infringement, or fitness for a particular purpose. Stac shall not be liable for any damages resulting from the use or distribution of Your Contributions.

10. Agreement

By submitting a Contribution, you acknowledge that you have read, understood, and agreed to the terms of this CLA.
